Item 8.01. Other Events.

As previously disclosed, on May 8, 2021, Soliton, Inc. a Delaware corporation (the "Company"), entered into an Agreement and Plan of Merger (the "Merger Agreement") with AbbVie Inc. ("AbbVie") and Scout Merger Sub, Inc., a wholly owned subsidiary of AbbVie ("Merger Sub"), pursuant to which Merger Sub will merge with and into the Company, with the Company continuing as the surviving corporation and a wholly owned subsidiary of AbbVie (the "Merger").

On November 7, 2021, AbbVie delivered notice (the "First Extension Notice") to the Company of the exercise of AbbVie's right under the Merger Agreement to extend the date by which either party has a right to terminate the Merger Agreement if the consummation of the Merger has not occurred from November 8, 2021 to February 8, 2022. In connection with delivery of the First Extension Notice, on November 8, 2021, AbbVie made a payment to the Company in the amount of $11,500,000. The Company and AbbVie continue to expect to complete the transaction in the second half of 2021, subject to the satisfaction or permitted waiver of the conditions to closing.
