ANNOUNCEMENT

Sonaecom, SGPS, S.A. ("Sonaecom") hereby informs that its subsidiary Sonae Investment Management - Software and Technology, SGPS, S.A. ("Sonae IM") together with the remaining shareholders have today reached an agreement with CLARANET PORTUGAL, S.A. ("Claranet") to sell to Claranet the entire share capital and voting rights of Digitmarket - Sistemas de Informação S.A. ("Bizdirect").

The completion of the transaction is subject to the fulfilment of customary conditions for a transaction of this nature (including the necessary approval by the Competition Authority) and closing is expected to occur until August 31, 2021.

This transaction is expected to generate proceeds of approximately € 12 million and with a positive impact in the Sonaecom's Consolidated Results, amounting approximately to 5 million Euros. These amounts may vary considering the effective closing date and depending on the financial performance of Bizdirect until the closing of the transaction.

With this transaction, Sonae IM continues to carry out an active management strategy of its portfolio of technology-based companies, with the aim of consolidating its position as a reference international investor, while reinforcing Bizdirect's growth path and relevance in the global market, which represents a clear opportunity for the company and its people.
