Sociéte de Services,de Participations,de Direction et d'Elaboration (ENXTBR:SPA) (Spadel) signed an agreement to acquire Eaux Minerales de Ribeauville (Carola) from Nestlé Waters France S.A.S. for approximately €11.4 million on July 5, 2013. Spadel drew from its equity to finance this deal. For the year ending December 31, 2012, Eaux Minerales de Ribeauville (Carola) reported turnover of €16.3 million and EBITDA of €1.9 million. The deal values the target six times its Ebitda 2012. 49 employees were taken over. Olivier Deren, Grine Lahreche, Arnaud Levasseur and Allard de Waal of Paul Hastings acted as legal advisors and Wim Goossens and Pieter-Jan Van de Walle of BNP Paribas Corporate Finance acted as financial advisors, Ernst & Young acted as financial and tax due diligence advisor to Sociéte de Services. Hugues Mathez, Nathalie Nègre-Eveillard and Sophie Nguyen of White & Case acted as legal advisors to Nestlé Waters France.

Spadel SA specializes in the production and marketing of soft drinks. The group also operates a spa (Thermes de Spa). The group's activity is organized essentially around two product families:
- natural mineral water: the largest mineral water producer in Benelux with brands notably including Spa Marie-Henriette, Spa Reine, Spa Barisart, Bru®, Devin, Wattwiller and Carola;
- lemonades, fruit syrups and flavored waters (brands Spa® Fruit, Spa® Duo and Spa® Touch).
At the end of 2022, the group had 5 production sites located in Belgium (2), France (2) and Bulgaria.
Net sales are distributed geographically as follows: Belgium/the Netherlands/Luxembourg (67.7%), Bulgaria (21.2%) and other (11.1%).
