SPX Corporation (NYSE:SPXC) signed a definitive agreement to acquire Cincinnati Fan and Ventilator Company, Inc. from Dominus Capital, L.P. on November 15, 2021. Burton will continue to lead Cincinnati Fan following the closing of the transaction. Subject to regulatory approval and customary closing conditions, the transaction is expected to close by year end 2021.
SPX anticipates that the acquisition will be accretive to its HVAC segment margin. William Blair served as financial advisor and White & Case LLP served as legal counsel to Cincinnati Fan. BlackArch Partners, LLC acted as financial adviser while Holland & Knight LLP acted as legal counsel to SPX Corporation.
