PARIS, Feb 23 (Reuters) - Suez minority shareholder CIAM is planning to present a resolution before the company's annual shareholder meeting that will ask for some board members to be replaced, a spokesman for the French activist fund said on Tuesday.

CIAM, which owns less than 1% of Suez, also wrote in a letter to the board that Suez should examine Veolia's takeover offer in the interest of investors.
