Item 8.01 Other Events.

On December 5, 2022, Summit Materials, Inc. issued a press release announcing that its Board of Directors had declared a stock dividend of 0.017 shares of the Company's Class A common stock, par value $0.01 per share ("Class A Common Stock"), for each outstanding share of Class A Common Stock. The stock dividend is payable on December 29, 2022 to stockholders of record on December 15, 2022. Cash will be paid in lieu of issuing any fractional shares of Class A Common Stock. A copy of the press release is filed as Exhibit 99.1 to this current report on Form 8-K and is incorporated herein by reference.
