AMENDEMENT OF AGREEMENTS WITH OVS SHAREHOLDERS-MANAGERS AFTER OVS

CAPITAL INCREASE

Following the completion of the recent capital increase of OVS S.p.A., Tamburi Investment Partners S.p.A. ("TIP" - MI) announces that the option agreements already in place with Stefano Beraldo and other OVS managers (subject of a press release dated 20 December 2019) have been amended as follows:

• the options will be exercisable at the price of Euro 1.718 per share;
• the number of OVS shares covered by the agreements remains defined on the basis of the weighted average price of the OVS share in the thirty days prior to the exercise of the option, which is revised as follows:
• 1. if the share price is equal to or greater than Euro 2.061, a total of 2,834,012 shares;
  2. if the share price is equal to or greater than Euro 2.405, a total of 4,048,590 shares;
  3. if the share price is equal to or greater than Euro 2.748, a total of 6,072,886 shares.

Everything else remains unchanged. The above prices may be further adjusted in relation to any future dividend distributions or capital transactions.

TIP's unilateral right to opt for a cash settlement method is reserved.
