NEW BOARD MEMBER APPOINTED

PURSUANT TO ART. 2386 OF THE ITALIAN CIVIL CODE

Gallarate (VA), 27 April 2021 - Following the press release issued on 06 April 2021, TPS S.p.A. (TPS: IM), operational holding of the TPS Group, leading company in technical services and engineering for the aeronautical industry ("TPS" or the "Company"), hereby makes it known that after meeting today, the Board of Directors took note of the resignation of Andrea Faraggiana and appointed, by co-optation, Stefano Di Meo, pursuant to Art. 2386, subsection 1 of the Italian Civil Code and the current Articles of Incorporation of the company. This appointment has been approved by the Board of Statutory Auditors.

The newly appointed Director, who does not meet the requirements of independence, pursuant to Art. 148, subsection 3 of the Consolidated Law on Finance, will remain in office until the first Shareholders' Meeting after his co-optation.

To date, the Administrative Body of TPS consists of the President and CEO, Alessandro Rosso, Executive Director Mr. Anguillesi and non-executive Board Members, Mr. Di Meo, Mr. Mandozzi, Mr Scantamburlo, Mr Pallavicini and Prof. Pedrini (the latter two also satisfying the requirements for independence).
