CLOSURE OF REGISTER OF MEMBERS

FOR ANNUAL GENERAL MEETING

The board of directors (the "Board") of Termbray Industries International (Holdings) Limited (the "Company") is pleased to notify that as announced on 19 March 2021, the forthcoming annual general meeting of the Company ("2020 AGM") is scheduled to be held on Friday, 11 June 2021. For determining the entitlement to attend and vote at the 2020 AGM, the register of members of the Company will be closed from Monday, 7 June 2021 to Friday, 11 June 2021 (both days inclusive), during which no transfer of shares will be effected.

In order to qualify for attendance of 2020 AGM, all completed transfer forms accompanied with the relevant share certificates must be lodged with the Company's share registrar, Tricor Standard Limited at Level 54, Hopewell Centre, 183 Queen's Road East, Hong Kong not later than 4:30 p.m. on Friday, 4 June 2021.
