Tetra Tech, Inc. (NasdaqGS:TTEK) acquired Amyx, Inc. for approximately $140 million on January 5, 2023. The purchase price comprised of a $100.0 million payable in a promissory note issued to the sellers (paid subsequent to closing), $8.7 million of payables related to estimated post-closing adjustments, and $12.2 million for the estimated fair value of contingent earn-out obligations, with a maximum of $25.0 million, based upon the achievement of specified operating income targets in each of the three years following the acquisition date. Amyx, Inc. is joining Tetra Tech?s Government Services Group. O'Melveny & Myers acted as legal advisor to Tetra Tech.
