Thales S.A. (ENXTPA:HO) has entered into exclusive negotiations to acquire RUAG S&T from RUAG International Holding AG on November 16, 2021. By integrating RUAG International's Simulation & Training business, as part of the Group's digital strategy, Thales will accelerate its move towards more environmentally efficient and digital training solutions for armed forces, in line with Thales's ESG commitments. Employee representative bodies of both Thales and RUAG International will be consulted as part of the project. For the period ended March 31, 2022, RUAG reported revenues of 90 million.
Castagnede, Marc of Allen & Overy LLP acted as legal advisor to Thales. The closing of the transaction is expected in 2022 upon completion of regulatory clearances process. The completion of the transaction is expected in 2022. Petra Hanselmann, Alexander Fischer, Boris Wenger, Ramon Tissafi, Anna Zellweger, Alain Sauty de Chalon, and Jérémie Paubel of Baker & McKenzie (Zurich) acted as legal advisors to RUAG International. Baker McKenzie advised RUAG International on all legal, regulatory and competition law aspects of the transaction.
Thales S.A. (ENXTPA:HO) completed the acquisition of RUAG S&T from RUAG International Holding AG on May 3, 2022. Thales will take over all business activities and all 500 employees in four countries at the beginning of May.
Thales is one of the European leaders in manufacturing and marketing of electronic equipment and systems for the defense and security, aerospace, and transportation sectors. Net sales break down by product group as follows:
- defense and security systems (53.4%): C4I defense and security systems (control and monitoring systems, communication, protection, cyber-security, and other systems), defense mission systems, naval systems, electronic war systems, drones, air operation systems (air defense, air surveillance), ground defense systems and missiles;
- aerospace systems (28.4%): avionics equipment (cockpit, cabin multimedia, and simulation equipment), space systems (satellites, payloads, etc.);
- digital identification and security solutions (18.2%).
Besides, the group owns a 35% stake in Naval Group (manufacture of naval equipment for defense and nuclear energy sectors).
Net sales are distributed geographically as follows: France (29.5%), the United Kingdom (6.6%), Europe (24.8%), the United States and Canada (14%), Asia (9.4%), Near and Middle East (6%), Australia and New Zealand (4.4%) and other (5.3%).
