DISTRIBUTION OF NOTICE OF ANNUAL GENERAL MEETING ("AGM"), ANNUAL INTEGRATED REPORT FOR THE PERIOD ENDED JUNE 30, 2020; NO CHANGE STATEMENT AND NOTICE OF AGM

Shareholders are advised that the notice of the annual general meeting ("AGM") was distributed to shareholders on Wednesday, October 28, 2020. The Company's Annual Integrated Report and Annual Financial Statements for the year ended June 30, 2020, as well as the Annual Environmental, Social and Governance Report, which incorporates the 2020 Remuneration Report, are available to be viewed and downloaded on the Company's website (www.bidvest.co.za). A printed version can be requested from the office of the Company Secretary - [e-mail] or [phone].

The annual financial statements contain no modifications to the audited financial results, which were published on September 14, 2020.

Notice is hereby given that the AGM of the Company will be held at 09:00 on Friday, November 27, 2020, at Bidvest House, 18 Crescent Drive, Melrose Arch, Johannesburg, 2196, to transact business as stated in the notice of the AGM.

The record date for shareholders to attend, participate in and vote at the AGM is Friday, November 20, 2020. Accordingly, the last day to trade to attend, participate in and vote at the AGM is Tuesday, November 17, 2020. Proxy forms must be forwarded to the Company's transfer secretaries to be received by them by no later than 09:00 on Wednesday, 25 November 2020 for administrative purposes. Any forms of proxy not received by this time must be handed to the chairman of the AGM immediately prior to the meeting.
