Item 8.01 Other Events

The Company announced on December 16, 2020 that its Board of Directors has authorized a share repurchase program (the "Repurchase Program"), pursuant to which the Company may purchase up to an aggregate of $30 million in shares of the Company's issued and outstanding common stock. The Repurchase Program will have an expiration date of December 31, 2021.
