Results of General Meeting

F&C Global Smaller Companies plc (the "Company") is pleased to announce that at the General Meeting of the Company held earlier today, the special resolution to allot convertible unsecured loan stock and ordinary shares by the exercise of conversion rights on a non pre-emptive basis, as set out in the circular to shareholders dated 25 June 2014, was approved by shareholders.

A copy of the resolutions has been submitted to the National Storage Mechanism and will shortly be available for inspection athttp://www.morningstar.co.uk/uk/NSM.
