Item 5.02.                 Departure of Directors or Certain Officers; Election of Directors;
                           Appointment of Certain Officers; Compensatory Arrangements of Certain
                           Officers.



On February 2, 2023, Wendy L. Schoppert, Chair of the Audit Committee of The
Hershey Company (the "Company"), notified the Company of her intention not to
stand for re-election as a director at the Company's 2023 Annual Meeting of
Stockholders, currently expected to be held on May 16, 2023.

Ms. Schoppert indicated her intention not to stand for re-election was not due
to any disagreement with the Company on any matter relating to the Company's
operations, policies or practices.
