Gwyneth S. Ong, Klarence T. Dy, Glenn Paul R. Garcia, Gilpatrick R. Garcia, Alfonso S. Anggala, and Johnny S. Anggala (buyers) intend to make a mandatory takeover offer to acquire 2.86% stake in Mariwasa Siam Holdings, Inc. (PSE:MMI) for PHP 5.7 million on November 5, 2012. The buyers intend to acquire 32.2 million Mariwasa shares for PHP 0.176 each as a part of the mandatory offer to be made on account of their acquisition of 97.14% stake in Mariwasa. Abacus Securities Corporation confirms that the buyers have sufficient resources for the full implementation of the offer.
As of January 25, 2013, the Board of Directors of Mariwasa Siam Holdings approved the change of corporate name of Mariwasa Siam Holdings to Apollo Capital Holdings, Inc. or Galileo Holdings, Inc. or Da Vinci Capital Holdings, Inc subject to the approval of the Securities and Exchange Commission. The tender offer shall commence on January 14, 2013 and will end on February 11, 2013. Sheila Aguilar of Abacus Securities Corporation acted as transaction broker and Adora A. Yanga of BDO Unibank, Inc. acted as the transfer agent for Mariwasa.
