INCORPORATION OF A WHOLLY-OWNED SUBSIDIARY

1. Introduction

1. The board of directors (the "Board" or the "Directors") of The Place Holdings Limited (the "Company", and together with its subsidiaries, the "Group") refers to the Company's announcement dated 7 July 2021 on the proposed intra-group restructuring exercise ("Relevant Announcement").
   Unless otherwise defined, all capitalised terms used herein shall bear the same meaning ascribed to them in the Relevant Announcement.
2. Incorporation of the SPV Company

1. In order to implement the proposed intra-group restructuring exercise, the SPV Company has been incorporated with details set out below:

		(hereinafter " Singapore Vast Universe")
Place of Incorporation	:	Singapore
Date of Incorporation	:	7 July 2021
Issued and Paid-Up Share Capital	:	S$10,000, comprising 10,000 ordinary shares
		issued at S$1.00 per share
Percentage of shareholding	:	The Company owns 100% of the shareholding
		interest in Singapore Vast Universe

1. The incorporation of Singapore Vast Universe was funded through internal resources and is not expected to have any material impact on the net tangible assets per share and earnings per share of the Group for the current financial year ending 31 December 2021.
2. None of the Directors or controlling shareholders of the Company has any interest, direct or indirect (other than through their shareholdings in the Company), in the incorporation of Singapore Vast Universe.
