On May 15, 2023, Michael G. Vale, a director of The Toro Company ("TTC"), resigned as a member of the Board of Directors of TTC, effective immediately. Mr. Vale's resignation was not the result of any disagreement with TTC on any matter relating to TTC's operations, policies or practices.
