Tinexta: the acquisition of the majority stake in Swascan has closed

Rome, 2020, 20 October. With reference to the press release of 12 October 2020, Tinexta announces that it has today closed the acquisition of 51% of the capital of Swascan S.r.l., which is part of the project to create a new national hub of digital identity and digital security services.

The price for the 51% share is estimated to equal € 4.2 million, of which € 2.1 million has been paid to Swascan shareholders today. The remaining part of the price will be paid after the approval of Swascan's 2020 financial results.

Swascan will be part of the operational core of Tinexta's new Cybersecurity business unit ("BU") with expertise, highly specialized resources and advanced technologies to seize the growing opportunities in the booming digital market. On a pro forma basis the aggregated results for 2020 are expected to be revenues of approximately € 67 million and an EBITDA of approximately € 8 million.

Following today's transaction, the results of Swascan S.r.l. will be consolidated from 1 October 2020.

On 12 October 2020, Tinexta announced the signing of binding agreements to acquire the majority of three businesses to create a new Cybersecurity Business Unit. As of 31 December 2019, the Group's staff amounted to 1,293 employees.
