Toei Company, Ltd. (TSE:9605) agreed to acquire remaining 34.30% stake in T Joy Co.,Ltd. from Tokyu Recreation Co., Ltd., Toei Animation Co.,Ltd. (TSE:4816), Toei Video Company, Ltd., Musashino Kogyo Co., Ltd. (TSE:9635), T.Y. Limited, Inc. and others for ¥3.5 billion on June 17, 2025. The consideration consists of 0.71 million common equity of Toei Company, Ltd. to be issued for common equity of T Joy Co.,Ltd. Upon completion, Toei Company, Ltd. will own 100% stake in T Joy Co.,Ltd. As on July 16, 2025, Toei Company, Ltd. (TSE:9605) agreed to acquire remaining 34.30% stake in T Joy Co.,Ltd. from Tokyu Recreation Co., Ltd., Toei Animation Co.,Ltd. (TSE:4816), Toei Video Company, Ltd., Musashino Kogyo Co., Ltd. (TSE:9635), T.Y. Limited, Inc. and others for ¥3.1 billion. The consideration consists of 0.61 million common equity of Toei Company, Ltd. to be issued for common equity of T Joy Co.,Ltd. The share exchange consists of 47.2 shares of Toei Company, Ltd. to be issued for a share of T Joy Co.,Ltd.
For the period ending March 31, 2025, T Joy Co.,Ltd. reported total revenue of ¥18.89 billion, EBIT of ¥746 million and net income of ¥777 million. As of March 31, 2025, T Joy Co.,Ltd. reported total assets of ¥21.04 billion and total common equity of ¥14.29 billion.
The Company will implement the Share Exchange without the approval of a resolution at a General Meeting of Shareholders. The deal has been approved by the board of Toei Company. The expected completion of the transaction is July 18, 2025.
