INCORPORATION OF SUBSIDIARIES

The Board of Directors (the "Board") of Totm Technologies Limited (the "Company" and together with its subsidiaries, the "Group") wishes to announce that the Company's wholly-owned subsidiary, Totm Tech SG Pte. Ltd. ("Totm Tech SG") has incorporated two subsidiaries in the United States of America and India, respectively (collectively, the "New Subsidiaries").

Details of the New Subsidiaries are as follows:

Date of Incorporation	:	27 September 2021
Issued and Paid-up share capital	:	USD10,000
Principal Activity	: Business development of identity management biometric
		technology solutions
Percentage of shareholding	: Totm Tech SG owns 100% of the shareholding interest in
		Identa T.
Name of Company	: Totm Tech India Private Limited ("Totm Tech India")
Country of Incorporation	:	India
Date of Incorporation	:	26 November 2021
Issued and Paid-up share capital	:	INR100,000
Principal Activity	: Provision of technical consultancy services, training and
		software development related services
Percentage of shareholding	: Totm Tech SG owns 99.99% and Mr Suheal Ahmed Jaffery
		Kiranam, (being the nominee individual shareholder) owns

0.01% of the shareholding interest in Totm Tech India, respectively.

The incorporation of Identa T and Totm Tech India were funded through internal resources and are not expected to have any material impact on the net tangible assets per share and earnings per share of the Group for the current financial year ending 31 May 2022.

Mr Suheal Ahmed Jaffery Kiranam is not related to the Directors, substantial shareholders and their associates.

None of the Directors or substantial shareholders of the Company have any direct or indirect interest in Totm Tech, save through their respective shareholdings (if any) in the Company.
