Trancom Co., Ltd. (TSE:9058) agreed to acquire a 100% stake in Starlink Resources Pte. Ltd. and 70% stake in H&S Co Pte. Ltd. from Shi Yihan for ¥1.1 billion on January 20, 2022. The consideration will be paid in the form of common shares of Trancom Co. Upon completion, Trancom Co. will own 100,000 shares in Starlink Resources and 70,000 shares in H&S Co. The shares of Starlink Resources Pte. Ltd. are to be acquired in stages and are scheduled to be acquired 100% by 2024. The net assets, total assets, sales, operating income and net income of Starlink Resources were ¥441 million, ¥528 million, ¥266 million, ¥116 million and ¥107 million and of H&S Co were ¥133 million, ¥181 million, ¥40 million, ¥23 million and ¥22 million, respectively, for the fiscal year ending December 2020. The impact of this acquisition on the consolidated financial results of Trancom Co. for the current fiscal year will be minor.
