Sichuan Troy Information Technology Co.,Ltd. (SZSE:300366) agreed to acquire 26.88% stake in Beijing Great Open Source Software Co., Ltd. from Beijing Zanyuan Technology Center (Limited Partnership), Zheng Hongyun and Lin Shaobin for CNY 13.1 million on March 22, 2019. Under the terms of the transaction, Sichuan Troy Information Technology will pay CNY 6.6 million after the conditions for first payment are made and CNY 6.6 million after the conditions for second payment. In a related transaction, Sichuan Troy Information Technology Co.,Ltd. will carry out a capital increase of CNY 19.49 million. Upon completion of both the transaction, Sichuan Troy Information Technology Co.,Ltd. will hold 47.73% stake. Troy Information Technology Co.,Ltd. will fund the transaction through own funds. The transaction does not require the approval of the board and the shareholders of Sichuan Troy Information Technology Co.,Ltd.
