Ultima Capital SA announces results of Annual General Meeting and closing of the transaction announced on 5 June 2025 Switzerland, 30 June 2025 - Ultima Capital SA (BX: ULTIMA, "Ultima" or "Company"), a Swiss luxury real estate owner, developer and operator listed on BX Swiss, announces that the Annual General Meeting of 30 June 2025 has approved most of the proposals by the board of directors, including the ordinary capital increase and the introduction of a capital band (all as set out in the invitation of 6 June 2025, available on the Company's website). The Annual General Meeting elected four of the five proposed members of the board of directors. The board of directors of the Company now consists of Jean-Pierre Verlaine (chairman), Alon Bar, Stavros Ioannou and Istvan Réczicza. Moreover, the Annual General Meeting did not grant discharge to the members of the board of directors and the executive management for the financial year 2024 (agenda item no. 3). All other proposals of the board of directors were approved.

Further, the transactions described in the Company's press release dated 5 June 2025 have been closed today. The new shares issued in the course of the ordinary capital increase are expected to be listed on 1 July 2025.
