MINUTES OF THE MEETING OF THE BOARD OF DIRECTORS

Date, Time and Location:

August 18, 2020, at 6 p.m., at the Company's headquarters, located at Av.

Brigadeiro Luís Antônio, n r 1343, 9t h floor, in the City and State of São Paulo, also contemplating participation through Microsoft Teams.

Attendance:

1. Members of the Board of Directors undersigned; (ii) Secretary of the Board of Directors, Mr. André Brickmann Areno; (iii) Chief Executive Officer, Mr. Frederico Pinheiro Fleury Curado; and (iv) Chief Financial and Investor Relations Officer, Mr. André Pires de Oliveira Dias .

Agenda and decisions :

1.	The members of the Board of Directors were updated on the proposal s
	to change the number of members that comprise the Board of
	Directors, from 10 (ten) to 11 (eleven) Directors, and the consequent
	election of a new member, which will be discussed for the approval
	by shareholders at the Extraordinary General Meeting of the
	Company. The Board manifested positively to these proposals.
2.	The members of the Board of Directors approved the calling of the
	Extraordinary Shareholders' Meeting, that shall be held on September
	22, 2020.

Note: The resolutions were approved, with no amendments or qualifications, by all Board Members.

As there were no further matters to be discussed, the meeting was closed, the minutes of this meeting were written, read and approved by all the undersigned members present.
