UNIEURO S.P.A.: GIANCARLO NICOSANTI MONTERASTELLI CONFIRMED AS

CHIEF EXECUTIVE OFFICER

Forlì, 24 June 2022 - The newly-elected Board of Directors of Unieuro S.p.A. (Euronext STAR Milan: UNIR), the leading distributor of consumer electronics and household appliances in Italy, met today under the chairmanship of Stefano Meloni and appointed Giancarlo Nicosanti Monterastelli as Chief Executive Officer of the Company, in continuity with his previous office.

All the remaining directors are non-executive directors, with the exception of Ms. Maria Bruna Olivieri in light of her position as General Manager.

The Board of Directors, on the basis of the statements made by the interested parties and the information available to the Company, has ascertained:

1. the compliance of all Directors with the maximum number of offices held in other companies, also taking into account the guidelines adopted in this regard by the Company and confirmed by today's Board of Directors,
2. the possession of the requisites of honorability provided for by the Ministry of Justice Decree No. 162 of 30 March 2000, as referred to in Article 147-quinques of the Legislative Decree No. 58/1998, and the absence of causes of ineligibility and incompatibility provided for by the regulations in force, as well as
3. the consistency with the independence requirements set forth in Articles 147-ter, paragraph 4, and 148, paragraph 3, of the Legislative Decree 58/1998, and in the Corporate Governance Code, also taking into account the criteria for assessing independence adopted by the Company and confirmed by today's Board of Directors, as regards to Directors Stefano Meloni, Paola Elisabetta Galbiati, Alessandra Stabilini, Pietro Caliceti, Laura Cavatorta, Alessandra Bucci and Daniele Pelli.

During today's board meeting, the Board of Statutory Auditors verified the correct application of the criteria and assessment procedures adopted by the Board to evaluate the independence of its members, expressing no remarks in this regard.

The Board of Directors acknowledged the evaluations of the control body in relation to the independence of its own members also according to the above-mentioned Corporate Governance Code.

Furthermore, as a supplement to what was disclosed at the time of the appointment by the Shareholders' Meeting of 21 June 2022 and according to the information made available to the Company, it is hereby stated that Mr. Giancarlo Nicosanti Monterastelli holds directly and indirectly through GNM Investimenti S.r.l. a total of no. 296,977 ordinary shares of
