ANNUALE 2020/2021 E ALTRA DOCUMENTAZIONE RELATIVA

ALL'ASSEMBLEA 15 GIUGNO 2021

Forlì, 21 maggio 2021 - Unieuro S.p.A. ("Unieuro" o la "Società") rende noto che sono state rese disponibili al pubblico in data odierna la Relazione finanziaria annuale relativa all'esercizio chiuso al 28 febbraio 2021 - comprendente il bilancio consolidato e il progetto di bilancio d'esercizio al 28 febbraio 2021, con la relativa relazione sulla gestione e l'attestazione di cui all'art. 154-bis, comma 5 del D. Lgs. n. 58/1998 - unitamente alla dichiarazione consolidata di carattere non finanziario redatta ai sensi del D.Lgs. n. 254/ 2016, alla relazione della Società di Revisione e alla relazione del Collegio Sindacale.

Contestualmente, la Società ha messo a disposizione del pubblico la Relazione sul governo societario e gli assetti proprietari, redatta ai sensi dell'art. 123-bis del Decreto Legislativo 24 febbraio 1998, n. 58, e la Relazione sulla politica in materia di remunerazione e sui compensi corrisposti, redatta ai sensi dell'art. 123-ter del Decreto Legislativo 24 febbraio 1998, n. 58.

I citati documenti sono a disposizione del pubblico presso la sede legale della Società, nonché pubblicati sul sito internet della Società (www.unieurospa.com) nella sezione Corporate Governance / Assemblee degli Azionisti / Assemblea 2021 e sul meccanismo di stoccaggio "eMarket STORAGE", consultabile all'indirizzo www.emarketstorage.com.

L'ulteriore documentazione sarà resa disponibile nei termini e con le modalità previsti dalla normativa di legge e regolamentare vigente.

La Società informa altresì che, ai sensi dell'art. 84-bis del Regolamento Consob 14 maggio 1999 n. 11971 ("Regolamento Emittenti"), le tabelle contenenti le informazioni sullo stato di attuazione del Long Term Incentive Plan 2018-2025 nonché del Piano di Performance Share 2020-2025, predisposte in conformità con lo schema 7 dell'Allegato 3A del Regolamento Emittenti, sono riportate all'interno della Relazione sulla politica in materia di remunerazione e sui compensi corrisposti.

Si segnala infine è stata depositata presso la sede legale della Società, ai sensi dell'art. 2429, comma 3, c.c., la copia integrale dell'ultimo bilancio della società controllata inclusa nel consolidamento.

UNIEURO S.P.A.: PUBLICATION OF THE 2020/2021 ANNUAL FINANCIAL

REPORT AND OTHER DOCUMENTATION RELATING TO THE SHAREHOLDERS

'MEETING 15 JUNE 2021

Forlì, 21 May 2021 - Unieuro S.p.A. (MTA: UNIR) hereby announces that the 2020/21 Annual Financial Report - containing the draft Financial Statements and Unieuro's Consolidated Financial Statements as 28 February 2021, with the related management report - as well as the consolidated non-financial declaration drafted pursuant to article 154- bis, paragraph 5 of the Legislative Decree 58/1998 (TUF), the Report of the Independent Auditing Firm and of the Board of Statutory Auditors, were made available today to the public.

In addition, it is highlighted that the Report on Corporate Governance and Ownership Structure, drafted in accordance with article 123-bis of Legislative Decree No. 58 of 24 February 1998, and the Report on remuneration policy and recompense paid, drafted pursuant to article 123-ter of Legislative Decree No. 58 of 24 February 1998, were made available to the public.

The above-mentioned documents are available to the public at the Company's registered office, on the company's website (www.unieurospa.com), in the section Corporate Governance / Shareholders' Meetings / 2021 Shareholders' Meeting, and on the storage mechanism "eMarket STORAGE" available at www.emarketstorage.com.

The additional documents will be made available to the public according to the terms and modalities set forth by the applicable legislation and regulations.

The Company also informs that, according to article 84-bis of Consob Regulation no.11971/1999 (the Issuers' Regulations), the tables containing information on the implementation status of the Long Term Incentive Plan 2018-2025 and of the Performance Share Plan 2020-2025, drafted in accordance with diagram 7 of Annex 3A of the Issuers' Regulations, are included in the Report on remuneration policy and recompense paid.

In addition, it is highlighted that full copy of the last financial statement of the subsidiary included in the consolidated area was made available to the public at the Company's registered office, pursuant to article 2429, paragraph 3, of the Italian Civil Code.
