UNIEURO S.P.A.: COMUNICAZIONE DI VARIAZIONE DEL CAPITALE SOCIALE

Forlì, 4 maggio 2021 - Unieuro S.p.A. (MTA: UNIR) rende nota la nuova composizione del proprio capitale sociale (interamente sottoscritto e versato) a seguito della parziale esecuzione, intervenuta nel periodo intercorrente tra il 2 aprile 2021 e il 3 maggio 2021, dell'aumento di capitale sociale a pagamento con esclusione del diritto di opzione deliberato dall'Assemblea Straordinaria della Società del 6 febbraio 2017 a servizio del Piano di Stock Option (dalla stessa approvato in pari data).

L'attestazione della variazione del capitale sociale è stata depositata presso il Registro delle Imprese di Forlì-Cesena e Rimini in data odierna.

Per effetto della parziale esecuzione del predetto aumento di capitale, intervenuta nel periodo considerato, il capitale sociale è aumentato - mediante emissione di 34.079 azioni ordinarie, prive di valore nominale e aventi le stesse caratteristiche delle azioni ordinarie in circolazione - per un importo pari a Euro 6.815,8 e risulta così composto:

In virtù dell'aumento di capitale avvenuto in data odierna, Unieuro ha incassato l'importo di Euro 374.869,00 dei quali Euro 368.053,20 a titolo di sovrapprezzo azioni.

Con particolare riferimento al Piano di Stock Option, si precisa che, dall'inizio del periodo di esercizio (31 luglio 2020) sino al 3 maggio 2021, sono state assegnate n. 397.987 azioni, a fronte delle 849.455 opzioni attribuite dal Consiglio di Amministrazione in data 18 giugno 2020 e ad oggi integralmente esercitabili.

Si comunica, infine, che lo Statuto aggiornato di Unieuro, depositato presso il Registro delle Imprese di Forlì-Cesena e Rimini, sarà messo a disposizione del pubblico presso la sede legale, sul sito internet della Società (www.unieurospa.com, sezione Corporate Governance

UNIEURO S.P.A.: NOTICE OF CHANGE IN SHARE CAPITAL

Forlì, 4 May 2021 - Unieuro S.p.A. (MTA: UNIR) announces the new breakdown of its share capital (fully subscribed and paid up) following the partial execution, in the period between 2 April 2021 and 3 May 2021, of the paid-in share capital increase with the exclusion of option rights resolved by the Extraordinary Shareholders' Meeting of the Company on 6 February 2017 to service the Stock Option Plan (approved on the same date).

Certification of the change in share capital was filed today with the Companies' Register of Forlì-Cesena and Rimini.

As a result of the partial execution of the aforesaid capital increase, which took place during the period concerned, the share capital has increased - through the issue of 34,079 ordinary shares, with no par value and having the same characteristics as the ordinary shares in circulation - by an amount equal to 6,815.8 Euros and is broken down as follows:

The capital increase finalized today resulted in a net cash inflow for Unieuro of € 374,869.00, of which € 368,053.20 as share premium.

As to the Stock Option Plan, it should be noted that, from the beginning of the exercise period (31 July 2020) until 3 May 2021, 397,987 shares were allocated against 849,455 options granted by the Board of Directors on 18 June 2020 and fully exercisable to date.

Finally, Unieuro's updated By-Laws, filed with the Companies' Register of Forlì-Cesena and Rimini, will be made available to the public at the Company's registered office, on the Company's website (www.unieurospa.com, Corporate Governance / Corporate Documents and Procedures section) and at the eMarket STORAGE authorised storage mechanism accessible from the website www.emarketstorage.com, within the terms and in the manner provided for by current legislation.
