3.Reason for cancellation of the merger or consolidation:
Regarding the merger between the Company and Subtron,
the Company originally planned to merge Subtron by way of absorption
and merger. Subtron proposed to the Company that after their comprehensive
consideration of the needs of customers and suppliers
during the integration process, complex taxation operations and costs,
shareholders' exercise of the right to dissent,
and the company's retention of talents,
it is suggested that the merger should be carried out by way of
share exchange instead. The Company and Subtron held the meeting of
board of directors respectively at the same time on 2022/03/30 to approve
the share exchange plan. After the share exchange,
Subtron will become a wholly-owned subsidiary of the Company.
