INCORPORATION OF SUBSIDIARY

The board of directors ("Board") of Union Gas Holdings Limited (the "Company" and together with its subsidiaries, the "Group") wishes to announce the incorporation of U-Global Pte. Ltd., a wholly-owned subsidiary (the "Subsidiary"). The Subsidiary was incorporated and registered in Singapore on 14 August 2020.

The Subsidiary has issued and paid up share capital of S$1,000.00 and its principal activities will be that of an investment holding company.

The incorporation of the Subsidiary was funded through internal resources of the Group and is not expected to have any material impact on the consolidated net tangible assets and earnings per share of the Group for the current financial year ending 31 December 2020.

None of the Company's Directors and controlling shareholders and their respective associates has any interest, direct or indirect, in the incorporation of the Subsidiary (other than through their respective shareholding interests in the Company, if any).
