With reference to the topics on the agenda of the ordinary shareholders' meeting of Unipol Gruppo S.p.A. called for 28 April 2022 (the "Meeting" and "Unipol" or the "Company"), please note the following.

Appointment of the board of directors and the board of statutory auditors and setting of the remuneration

Under applicable law, the lists of candidates for the office of director and statutory auditor, submitted in accordance with the law and the articles of association by:

• - the shareholders who belong to a shareholder agreement, applicable in accordance with article 122 of legislative decree no. 58/1998 (the "Shareholder Agreement"), relating to a total number of 215,621,214 Unipol shares, amounting to 30.053% of the share capital (List 1);

• - certain asset management companies and institutional investors who are Unipol shareholders, and who own a total number of 9,834,453 shares, amounting to 1.371% of the share capital (List 2),

both with the necessary documentation attached, are available to the public at the registered office, on the authorised storage mechanism eMarket Storage (www.emarketstorage.com) and on the Company's websitewww.unipol.it (under the section Governance/Shareholders' Meetings/2022/Ordinary Shareholders' Meeting of 28 April 2022).

The shareholders who form part of the Shareholder Agreement also submitted their proposed resolutions in relation to the following items on the agenda of said Shareholders' Meeting:

• - 2c "Setting of the remuneration of the members of the board of directors for financial years 2022, 2023 and 2024. Consequent and related resolutions";

• - 3b "Setting of the remuneration of the board of statutory auditors for financial years 2022, 2023 and 2024. Consequent and related resolutions".

Further shareholder meeting documentation

Further to what was reported on 17 and 29 March last, the following is available to the public at the registered office, on the authorised storage mechanism eMarket Storage (www.emarketstorage.com) and on the Company's websitewww.unipol.it (under the section Governance / Shareholders' Meetings/2022/ Ordinary Shareholders' Meeting of 28 April 2022): (i) the annual financial report, with the non-financial disclosure attached pursuant to legislative decree 254/2016 and the other documents pursuant to article 154-ter, paragraph 1 of the consolidated law on finance, (ii) the annual report on corporate governance and ownership structure, and (iii) the directors' report and proposed resolutions on item 4 of the agenda, including the report pursuant to article 123-ter of the consolidated law on finance and articles 41, 59 and 93 of IVASS regulation no. 38/2018.
