Item 1.01 Entry into a Material Definitive Agreement

On February 23, 2021, the registrant and PPG Industries, Inc. ("PPG") entered into an amendment (the "Amendment") to that certain Amended and Restated OLED Materials Supply and Service Agreement, dated as of October 1, 2011 (the "Supply Agreement"), between the registrant and PPG to provide for PPG's adaptation and operation of a new manufacturing facility in Ireland (the "Facility") for PPG's manufacture of the registrant's proprietary PHOLED emitter materials at the Facility. Under the terms of the Amendment, in addition to providing for PPG's operation of the manufacturing functions at the Facility, the registrant and PPG also agreed to extend the term of the existing Supply Agreement such that neither party can provide notice of their respective rights of termination under the existing agreement prior to December 1, 2024. Attached is a press release announcing the registrant's plans with respect to the Facility.
