FINALISATION ANNOUNCEMENT PERTAINING TO THE MANDATORY OFFER TO UNIVERSAL PARTNERS SHAREHOLDERS

Universal Partners shareholders and the general public are referred to the announcement released by the Company on 6 May 2022 on the website of the Stock Exchange of Mauritius Ltd ("SEM") and the Stock Exchange News Service of the JSE Limited ("JSE"), and to the offer document issued on the same date by Glenrock Lux PE No1 SCSp, Glenrock Lux PE No2 SCSp and Glenrock International Limited (collectively referred to as the "Offerors") to the Universal Partners shareholders, in terms of Rule 33(1)(c) of the Mauritian Securities (Takeover) Rules 2010 (the "Takeover Rules") with regard to the mandatory offer (the "Offer"), together with the announcement released by the Company on 25 May 2022 with regard to the posting of the reply document in this regard.

Shareholders holding Universal Partners shares on the South African register ("SA register") will receive the Offer consideration of ZAR 18.63 per share in South African Rand ("ZAR") whilst shareholders holding their Universal Partners shares on the Mauritian register will receive the Offer consideration in Pound Sterling ("GBP") converted at an exchange rate of GBP 1.00:ZAR 19.3856, being GBP 0.96102 per share, determined at the prevailing exchange rate on 3 June 2022.
