POSTING OF REPLY DOCUMENT TO UNIVERSAL PARTNERS SHAREHOLDERS

IN RESPECT OF THE MANDATORY OFFER

Shareholders and the general public are referred to the announcement released by the Company on 6 May 2022 on the website of the Stock Exchange of Mauritius Ltd ("SEM") and the Stock Exchange News Service of the JSE Limited ("JSE"), and to the offer document issued on the same date by Glenrock Lux PE No1 SCSp, Glenrock Lux PE No2 SCSp and Glenrock International Limited (collectively referred to as the "Offerors") to the Universal Partners shareholders, in terms of Rule 33(1)(c) of the Mauritian Securities (Takeover) Rules 2010 (the "Takeover Rules") with regard to the mandatory offer (the "Offer").

Universal Partners shareholders are accordingly advised that in accordance with Rule 18 of the Takeover Rules, the Company has issued a reply document to its shareholders today, 25 May 2022.

The reply document is available on Universal Partners' website at http://www.universalpartners.mu/. Copies of the reply document may also be obtained from the registered office of Universal Partners, or at the offices of Java Capital Trustees and Sponsors Proprietary Limited and Perigeum Capital Ltd during normal business hours from the date of issue of the reply document, being 25 May 2022.

Universal Partners has its primary listing on the Official Market of the SEM and a secondary listing on the Alternative Exchange of the JSE.
