MINUTES OF THE BOARD OF DIRECTORS MEETING
HELD ON DECEMBER 20, 2022
DATE TIME AND PLACE: December 20, 2022, at 2:15 p.m., at the office of Valid
Soluções S.A. ("Company"), located at Alameda Rio Claro, 241 - Bela Vista, in the City of São Paulo, State of São Paulo.
CALL NOTICE: Notice sent to each member of the Board of Directors, pursuant to
Article 18, paragraph 1 of the Company's Bylaws.
OPENING AND ATTENDANCE QUORUM: : Attendance of all members of the Board of Directors, and the meeting was held by videoconference, as provided in Article 18 of the Bylaws.
AGENDA: To consider discuss about (i) receiving the resignation of Mr. Guilherme Affonso Ferreira from his position as a member of the Company's Board of Directors.
RESOLUTIONS: After the matters on the agenda had been reviewed and discussed, they were approved, by unanimous vote, without any restrictions, reservations, or opposition:
(i) To register and acknowledge receipt of the resignation of Mr. Guilherme Affonso Ferreira from his position as a member of the Company's Board of Directors on the present date and approve the taking of the necessary measures for the recomposition of the Board of Directors.
CLOSURE:There being no further business to discuss, the meeting was adjourned and these minutes were drawn up, read, approved, and signed by the board members.
