-Notice of Dividend-

On June 17, 2021, the Company's Annual General Meeting resolved to use the net profit for the 2020 fiscal year of € 139,431,752.99 as recorded in the annual financial statements of VARTA Aktiengesellschaft to distribute a dividend totaling € 2.48 per share entitled to dividends: with a total of 40,421,686 eligible shares, dividend payouts will amount to € 100,245,781.28 overall. The remaining amount of € 39,185,971.71 will be carried forward.

Dividends will be paid out on June 22, 2021 less 25.0% capital gains tax plus a 5.5% solidarity surcharge on the capital gains tax (26.375% in total), and, if applicable, church tax on the capital gains tax.

For our shares, the dividend is being paid out via Clearstream Banking AG, Frankfurt am Main, through the custodian banks. Commerzbank AG, Frankfurt, is the paying agent.

In the case of shareholders resident in Germany, the dividend will be paid out without any deduction for capital gains tax or solidarity surcharge and, if applicable, church tax, in the event that shareholders have submitted a certificate of non-assessment issued by their local tax office to their custodian bank. The same applies in whole or in part to domestic shareholders who have issued an exemption order to their custodian bank, provided that the exemption volume specified in this order has not already been used up by other income.

In the case of foreign shareholders, the withheld capital gains tax and solidarity surcharge may be reduced on request in accordance with the applicable provisions of the double taxation agreement between the Federal Republic of Germany and the country of residence of the shareholder in question. The difference between the reduced tax rate under the double taxation agreement and 26.375% will be reimbursed. The application for a reduction and reimbursement of capital gains tax must be submitted to the Federal Central Tax Office.
