Item 5.02 Departure of Directors or Certain Officers; Election of Directors;

           Appointment of Certain Officers; Compensatory Arrangements of Certain
           Officers.

On September 17, 2021, the Compensation Committee of the Board of Directors of VerifyMe, Inc. approved a salary increase for Margaret Gezerlis raising her base salary to $180,000, effective September 1, 2021. No further changes were made to the compensation of Ms. Gezerlis.
