Vertex, Inc. (NasdaqGM:VERX) acquired LCR-Dixon for $99.7 million on September 22, 2021. The purchase price is subject to purchase price adjustments related to the final determination of LCR-Dixon?s cash, net working capital, and taxes as of the acquisition date. The consideration consist of $59.7 million cash paid at closing and deferred payments of $40 million to be paid in four installments of $10 million each every six-months beginning March 2022 and ending September 2023. The $59.7 million of cash paid at closing will be partially offset by $1.9 million of cash received in the acquisition resulting in net cash consideration at closing of $57.8 million. The cash consideration was funded from available cash on hand.
