The reason for no adjustment : The Company shall not adjust the
exercise price and/or exercise ratio because the event does not trigger the
conditions under Clause 5(e) of the Terms and Conditions Governing the Rights
and Obligations of the Issuer and Holders of the Warrants to Purchase the Newly
Issued Ordinary Shares of VGI Public Company Limited No. 2 (VGI-W2) ("Terms and
Conditions") due to this dividend payment is an interim dividend payment which
will be paid from the Company's operating profit for the first 6-month period of
the fiscal year 2021/22, such interim dividend amount cannot be taken solely to
calculate the dividend payout ratio per the Company's net profit according to
the Company's standalone financial statements pursuant to the conditions as
specified in the Terms and Conditions.
