                   Appointment of Certain Officers; Compensatory Arrangements of Certain
                   Officers.

(e) On November 13, 2020, ViacomCBS Inc. ("ViacomCBS" or the "Company") amended the CBS Combined Pension Plan, a qualified defined benefit pension plan (the "CCPP"), and the CBS Retirement Excess Pension Plan, an unfunded nonqualified defined benefit pension plan (together with the CCPP, the "Plans"), to freeze benefit accruals for all participants in the Plans, including any named executive officers, as of December 31, 2020.
