Acquisition of shares issued by Comerc Participaçoe s S.A.

Rio de Janeiro, May 30th , 2022.

Vibra Energia S.A. ("Companhia" ou " Vibra") (B3: VBBR3) in compliance with Art. 157, § 4, of Law No. 6,404 of December 15th, 1976, as amended ("Corporate Law") and the provisions of The Brazilian Securities and Exchange Commission Resolution ("CVM") no. 44 of August 23rd, 2021, communicates to its shareholders and the market in general, in continuity with the Material Facts released on October 8th, 2021, March 2nd, 2022 and March 21st, 2022, as follows:

Vibra concluded on this date the acquisition of the shares issued by Comerc Participações S.A. ("Comerc") subject to the option to purchase shares granted by the original shareholders of Comerc, which was exercised by Vibra on February 25th, 2022.

In this context, Vibra made, today, total payment of R$ 1,224,081,700.81 to Comerc's original shareholders, granting the purchase option, and of them received 61,594,123 common shares issued by Comerc, representing 16.9667% of its share capital.

With this, Vibra becomes the owner of shares representing 48.7% of Comerc's total share capital and forma, together with the founding partners of Vibra Comercializadora de Energia S.A. (formerly Targus Comercializadora de Energia), a block of shareholders holding 50% of Comerc's total share capital.

Vibra reaffirms its commitment to keep its shareholders and the market at large informed about material developments in the matters described herein.
