Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 24, 2021, Vivint Smart Home, Inc. (the "Company") announced that Todd R. Pedersen, the Company's founder and Chief Executive Officer, has decided to step down as the Company's Chief Executive Officer, effective at such time as the Company's board of directors (the "Board") appoints his successor. The Board has commenced a search process to identify a successor Chief Executive Officer. Mr. Pedersen will remain a member of the Board.

Item 7.01 Regulation FD Disclosure.

On May 24, 2021, the Company issued a press release announcing Mr. Pedersen's decision to step down as the Company's Chief Executive Officer. The full text of the press release is furnished as Exhibit 99.1 hereto and incorporated herein by reference.
