VR Resources Ltd. (TSXV:VRR) signed a binding agreement to acquire Junction Copper-Gold property in Nevada from Sunrise Resources plc (AIM:SRES) for $0.09 million on August 28, 2017. Under the terms of the agreement, VR Resources will pay $0.01 million as initial payment, VR Resources will issue its 0.05 million common stock on closing and will issue its 0.05 million common stock, if VR Resources completes a diamond drill program on the new Boston property. An additional payment of 0.25 shares of VR Resources is payable to Sunrise if VR Resources completes and files an NI 43-101 technical report containing a mineral resource estimate on the Junction property. If a drill program is not completed within 18 months of closing, the property and any new exploration data will be returned to Nevada Select Royalty Inc. Post-acquisition, Sunrise Resources will earn royalty interest from the Junction Copper-Gold property and will retain shareholding in VR Resources.

The closing of the transaction is subject to acceptance by the TSX Venture Exchange. Barry Mire of Renmark Financial Communications Inc. acted as public relation advisor for VR Resources. Edward Hutton, David Hignell, John Howes and Rob Rees of Northland Capital Partners Limited acted as nominated advisor and broker to Sunrise Resources. Jon Belliss of Beaufort Securities Limited acted as joint broker to Sunrise Resources.
