Executive pay is linked to performance and structured to reward annual and long- term Company performance while discouraging excessive risk taking by using 2 key metrics: (1) return on invested capital (ROIC) and (2) daily sales growth.

PRSU program - NEOs receive payout if Company meets predetermined ROIC metric over athree-year cycle. Actual number of shares paid to an NEO will be either 0% or 100% of the target number of PRSUs awarded. Compensation Committee with independent compensation consultant and management perform a thorough analysis in setting the financial measures and goals for a three-year performance cycle.

No dividends paid on PRSUs.
