Item 5.02. Departure of Directors or Certain Officers; Election of Directors;

           Appointment of Certain Officers; Compensatory Arrangements of Certain
           Officers.

On August 19, 2022, Dr. David J. Brailer, a member of the Board of Directors (the "Board") of Walgreens Boots Alliance, Inc. (the "Company"), notified the Company of his decision to resign from the Board, effective immediately, as a result of his decision to pursue a new professional opportunity that will preclude his continued service on the Board. Dr. Brailer's decision to resign from the Board was not the result of any disagreement relating to the Company's operations, policies or practices. The Company thanks Dr. Brailer for his commitment and service.
