The Briscoe Law Firm, PLLC, founded by a former state prosecutor and enforcement attorney for the United States Securities and Exchange Commission, and the securities litigation law firm of Powers Taylor, LLP are investigating potential legal claims against the Board of Directors of Warner Music Group Corp. ("Warner Music" or "WMG") (NYSE: WMG) related to the buyout of Warner Music Group by Access Industries.

The definitive merger agreement, which was announced on May 6, 2011, involves an all-cash transaction valued at approximately $3.3 billion. Under the proposed buyout, Warner Music shareholders will receive $8.25 in cash for each share of Warner Music/WMG common stock they hold. The transaction is expected to close in the third quarter of 2011.

The firms are investigating the fairness of the proposed transaction to Warner Music shareholders and whether Warner Music's Board of Directors acted in the shareholders' best interests. Specifically, at least one analyst has set a target price of $8.50 for Warner Music/WMG shares, and in February 2011 Warner Music reported better than expected earnings per share. Based on these and other factors, the firms do not believe that the acquisition price is fair to Warner Music shareholders. The firms are also investigating whether Warner Music's Board of Directors adequately considered all viable alternatives and properly shopped the company before entering into the agreement.
