Weiss & Lurie, a national class action and shareholder rights law firm with offices in New York City and Los Angeles, is investigating possible breaches of fiduciary duty and other violations of law by the Board of Directors of Warner Music Group Corp. (NYSE:WMG) arising from its proposed acquisition by Len Blavatnik's Access Industries for $8.25 per share.

Certain shareholders, including Warner's CEO Edgar Bronfman, Jr., who together hold approximately 56% of the company's outstanding shares, have entered into agreements to vote their shares in favor of the acquisition. Blavatnik has about a 2% stake in Warner. The acquisition is expected to close in the third quarter of 2011.

Weiss & Lurie is investigating whether Warner's Board acted in the best interests of shareholders in approving the transaction and whether the Board adequately shopped the Company prior to entering into the acquisition agreement, particularly when bidders such as the Gores brothers are still weighing higher offers. Indeed, at least one analyst set the price target of Warner stock at $8.50 per share.

Blavatnik has a longstanding relationship with Warner and CEO Bronfman. Blavatnik was part of the group led by Bronfman that bought Warner in 2004 and served on its board until 2008. He also bought Bronfman's house in 2007 for $50 million.
