Wellnex Life Limited (ASX:WHA) entered into a binding Asset Sale Agreement to acquire businesses of Brand Solutions Australia and Pharma Solutions Australia for AUD 5.3 million on April 13, 2021. As a part of consideration, Wattle Health Australia Limited will pay upfront consideration of AUD 2.75 million in cash, AUD 0.5 million cash to repay existing debt and AUD 2 million will be paid through issue of 13.3 million shares to Brand Solutions Australia, also there will be a deferred earn-out consideration component which will be payable progressively upon achievement of prescribed Business performance targets. Wattle Health Australia will pay a termination fee of AUD 0.25 million at termination. As of May 20, 2021 Wattle Health Australia Limited will change its name to Wellnex Life Limited. As on December 31, 2020, Assets of Brand Solutions Australia and Pharma Solutions Australia generated revenues of AUD 14.5 million. As a part of the transaction Wattle Health Australia Limited has agreed to appoint Zack Bozinovski as a director. The transaction is subject to obtaining all shareholder approvals by Wattle Health Australia Limited. Wellnex Life Limited (ASX:WHA) completed the acquisition of businesses of Brand Solutions Australia and Pharma Solutions Australia on July 1, 2021.
