On May 2, 2025, Impactive Capital LP announced that it has sent an open letter to shareholders of WEX Inc, stating that it believes that with the right change and improved shareholder alignment, Company can deliver significant value to all stakeholders. Impactive Capital stated that it has privately and constructively engaged with the Board and management for the past four years, and at the end of 2024 and after a period of Company?s performance, it requested that an Impactive representative be added to the Board to bring a much-needed shareholder perspective, and stated that the Company Board and management have seemingly ignored its feedback and refused to act with sufficient urgency to address the ongoing issues at the Company. In addition, Impactive Capital stated that it has determined that it is necessary to vote against 3 incumbent directors Jack VanWoerkom, Melissa Smith, and James Neary, at the 2025 annual meeting of shareholders.
