ANNUAL GENERAL MEETING TO BE HELD ON 28 OCTOBER 2020

1. Background
   Wing Tai Holdings Limited ("WTH") refers to:-
2. 1. the COVID-19 (Temporary Measures) Act 2020 which enables the Minister for Law by order to prescribe alternative arrangements for listed companies in Singapore to, inter alia, conduct general meetings, either wholly or partly, by electronic communication, video conferencing, tele-conferencing or other electronic means;
   2. the COVID-19 (Temporary Measures) (Alternative Arrangements for Meetings for Companies, Variable Capital Companies, Business Trusts, Unit Trusts and Debenture Holders) Order 2020 (the "Meetings Order") which sets out the alternative arrangements in respect of, inter alia, general meetings of companies; and
   3. the joint statement by the Accounting and Corporate Regulatory Authority, Monetary Authority of Singapore and Singapore Exchange Regulation of 13 April 2020 (and subsequently updated on
      27 April 2020, 22 June 2020 and 1 October 2020) which provides additional guidance on the conduct of general meetings during the period from 27 March 2020 to 30 June 2021.
3. Date, time and conduct of AGM
   WTH wishes to announce that pursuant to the Meetings Order, its Annual General Meeting ("AGM") will be convened and held by electronic means on Wednesday, 28 October 2020 at 11.00 a.m. (Singapore time).
   WTH's Board Chairman, Mr Cheng Wai Keung, will conduct the proceedings of the AGM.
4. Notice of AGM and Proxy Form
   The Notice of AGM and Proxy Form will be sent to members solely by electronic means via publication on the SGX's website at URL https://www.sgx.com/securities/company-announcementsand WTH's website at URL http://bit.ly/WTHAGM2020. Printed copies of these documents will not be sent to members.
5. No personal attendance at AGM
   Due to the current COVID-19 situation in Singapore, members will not be able to attend the AGM in person.
6. Alternative arrangements for participation at the AGM Members may participate at the AGM by:
7. 1. observing and/or listening to the AGM proceedings via live audio-visual webcast or live audio-only stream;
   2. submitting questions in advance of the AGM; and/or
   3. appointing the Chairman of the AGM as proxy to attend, speak and vote on their behalf at the AGM.

Alternative arrangements relating to attendance at the AGM via either electronic means (including arrangements by which the meeting can be electronically accessed via live audio-visual webcast or live audio- only stream), submission of questions in advance of the AGM, addressing of substantial and relevant questions and voting by appointing the Chairman of the AGM as proxy at the AGM, are set out in the Notice of AGM.

6. Annual Report 2020 and Addendum

Members can access at URLs https://www.sgx.com/securities/company-announcementsand http://bit.ly/WTHAGM2020to view WTH's Annual Report 2020 and the Addendum in relation to the proposed renewal of the Share Purchase Mandate. Printed copies of these documents will not be sent to members.

7. Key dates/deadlines

The key dates/deadlines which members should take note of are set out in the table below.

(Sunday)	proceedings ("Pre-Registration Deadline");
	• submit Proxy Form; and
	• submit questions relating to the business of the AGM through electronic means
	(during pre-registration) or by post.
	Pre-registrations and/or submissions received after the Pre-Registration
	Deadline will not be processed.
11.00 a.m. on	Authenticated members will receive an email ("Confirmation Email") containing
27 October 2020	instructions to access the live audio-visual webcast/live audio-only stream of the

	Members who do not receive the Confirmation Email by 11.00 a.m. on
	27 October 2020 but have registered by the Pre-Registration Deadline should

8. Important reminder
